BY-LAWS

 

ARTICLE I.  GENERAL:

 

Section 1: The name of this organization shall be Ancient City Game Fish Association, abbreviated (ACGFA).

 

Section 2: It shall be domiciled in the city of St. Augustine, St. Johns County, Florida.

 

ARTICLE II.  PURPOSE:

 

Section 1: The purposes of this organization shall be:

 

      a.  To promote the sport of game fishing in this area.

 

      b.  To do whatever is in our power to improve fishing grounds and facilities in the area.

 

      c.  To encourage this sport as a recreation.

 

      d.  To publicize generally the area as a superb fishing and recreational area.

 

e.  To keep the sport of game fishing ethical and to make its' rules acceptable to the majority of anglers.

 

f.  To speak out against, and work to stop, any venture, practice or man-made project which, in the majority of the Board of Directors of the Association, threatens to hurt the natural outdoor recreational advantages enjoyed by this area.

 

ARTICLE III.  OFFICERS:

 

Section 1: Officers shall be:  PRESIDENT  -  VICE PRESIDENT  -  SECRETARY  -  TREASURER

 

Section 2: These Officers and Board of Directors consisting of the past president and three (3) other Directors and two (2) Alternate Directors, a total of eight (8) directors and two (2) alternates, shall be elected each October by a majority of the members present at the regular monthly meeting.  The Past President automatically serves as a Director unless he/she declines.

 

Section 3: Terms of office for all officers and directors shall before one year each.  But, any officer or director may be re-elected, without limit on the number of times.

 

Section 4: A vacancy among the officers shall be filled for the balance of the term by appointment made by the remaining directors.  An alternate director shall fill a vacancy among directors for the balance of the term, additional vacancies shall be made by appointment made by the remaining directors.

ARTICLE IV.  BOARD OF DIRECTORS:

 

Section 1: The eight directors shall consist of the four officers, the last past president and three other members plus two alternates, all elected for one year only.  Any may be re-elected.

 

Section 2: The Board of Directors shall attend to the administration of the Association and shall also act for the membership during intervals between membership meetings in all matters within the scope of these By Laws.

 

Section 3: Meetings of the Board of Directors shall be called as needed by the President or may be called by two other officers or by any five other members.

 

Section 4: A quorum of the Board of Directors shall be no less than three officers plus three directors (including alternate(s)) who are not officers.  An Alternate Board Member may attend all Board meetings and vote if a Board Member is unable to attend.

 

Section 5: No action by of for the Association under Article II shall be taken until first it is approved by a quorum of the Board of Directors

 

Section 6: No one other than the President shall officially represent, speak or write for the Association unless first authorized to do so by a quorum of the Board of Directors or the President in writing.

 

Section 7: Any officer or director who misses three (3) consecutive meetings shall be relieved of his position.  Vacancy shall be filled as provided for in Article III, Section 4.

 

ARTICLE V.  COMMITTEES:

 

Section 1: Ad Hoc Committees:

 

a.  The President shall appoint any committees and the proper chairmen for whatever purposes arising and for whatever terms necessary, subject to ratification by the Board of Directors.

 

Section 2: Standing Committees: TOURNAMENT - ENTERTAINMENT - MEMBERSHIP - PUBLICITY (includes promotion) - OFFSHORE IMPROVEMENT

 

ARTICLE VI.  MEETINGS:

 

Section 1: Regular monthly meetings shall be held at a time and place appointed by the President.

 

Section 2: Members shall be notified in advance of each meeting either by mail or telephone or by publication in the newspaper calendar of events.

 

Section 3: The business portions of meetings shall be conducted in a formal manner, with no extraneous talking allowed.

ARTICLE VI.  MEETINGS (CONT.):

 

Section 4: A quorum for a membership meeting shall consist of no less than two officers and ten members.

 

Section 5: Special meetings of the membership shall be called by the President by written notice at least five (5) days in advance of the meeting.

 

ARTICLE VII.  MEMBERSHIP:

 

Section 1: Dues for an individual membership shall be at a rate recommended by the Board of Directors and approved by majority vote of the membership at a regular monthly meeting.

 

Section 2: Dues for a family membership shall be at a rate recommended by the Board of Directors and approved by majority vote of the membership at a regular monthly meeting.  Dependent children 18 years of age or younger are included under a family membership.  Persons who attain their 19th birthday require their own membership.

 

Section 3: Membership shall be automatically dropped when dues become one (1) month delinquent.

 

Section 4: Memberships shall become due on June 1st and expire on May 31st each year.  New members who join during the period from June 1st through November 30th shall pay full membership dues and

New members who join during the period from December 1st through May 31st shall pay one-half the full membership dues.  New members are defined as persons who have not been members for a for a twelve month period.  Members who allow their membership to expire are not eligible for the one-half membership rate.

 

ARTICLE VIII.  AMENDMENTS TO THE BY LAWS:

 

Section 1: Any suggestion for amendment of By-Laws must be submitted in writing and read by the President or his designee to the membership at two consecutive meetings after which the proposed

Amendment may be voted upon.

 

ARTICLE IX.  BUDGETS:

 

Section 1: In the course of official duties, each officer or committee chairman is allowed a budget not to exceed $100.  When this amount has been spent, said officer must request renewal of his budget at a Board Meeting.

 

Section 2: Chairmen of all committees must submit, in writing, an estimate of costs of their projects.  No funds may be spent for any project until the Board of Directors has approved the estimate of costs.

ARTICLE X.  TOURNAMENTS:

 

Section 1: General:

 

a.  All fish must be caught by rod and reel (except for mullet) and must be in accordance with local fishing methods.

 

b.  Any fish caught in violation of Federal, State and/or county laws or regulations is ineligible for any tournament sponsored by this Association.

 

Section 2: Annual Club Members Tournaments:

 

      a.  Will normally begin on May 1st and end on April 30th each year.

 

b.  Association Members under the age of 8 years will fish as “Small-Fry” and members 8 to 16 years will fish as “Juniors”.  Members over 16 will be considered “Men” or “Women” for the tournaments.  If a Junior or Small-fry angler has a birthday which changes their category, he or she will continue to fish in the category he or she started in  for the remainder of the fishing year (thru April 30th). 

     

      c.  Awards will normally be presented at the annual membership party.

 

Section 3: Tournaments Sponsored by the Association:

 

a.  Rules for the Tournament Committee will establish all tournaments sponsored by the Association whether for free or requiring an entry fee.

 

b.  A copy of the rules should be made available by printed poster or written form to all entrants.  Rules should include location(s) of weigh-in, species, period of fishing and prize structure.
